SECTION A — (5 *8 = 40 marks)
Answer any FIVE of the following.
All questions carry equal marks.
1. State the legal rules governing valid acceptance.
2. Distinguish between indemnity and guarantee.
3. Bring out the rights of an unpaid seller.
4. Explain the doctrine of ‘Caveat Emptor’.
5. Mention the main features of partnership.
6. Differentiate between Memorandum and Articles of Association.
7. Give a brief account on ‘Surety’.
8. State the effect of document not being duly stamped.
SECTION B — (4 × 15 = 60 marks)
Answer any FOUR of the following.
All questions carry equal marks.
9. Discuss the essentials of valid contract as per Section 10 of Indian Contract Act, 1872.
10. Explain briefly the remedies for breach of contract.
11. What is a contract of sale? Discuss the essential characteristics of a contract of sale of goods.
12. Examine the different modes of dissolution of firm.
13. Write a note on :
(a) Doctrine of Indoor Management
(b) Doctrine of Ultravires.
14. Describe the main reasons for variations in stamp duty between inter states.
15. Briefly explain the procedures for registration of documents.
