ELEMENTS OF COMPANY LAW/COMPANY LAW (Upto 2004 onwards) Time : Three hours Maximum : 100 marks SECTION A — (5 x 8 = 40 marks) Answer any FIVE questions. 1. Discuss the special features of a joint stock company. 2. What are the privileges of a private company? 3. Explain the contents of Articles of Association. 4. Give the meaning of statement in-lieu of prospective. 5. Differentiate between share certificate and share warrent. 6. Write a short note on : (a) Quorum. (b) Agenda. (c) Proxy. 7. Discuss the role and rights of a director. 8. Who is an official liquidator? What are his duties and power? SECTION B — (4 x 15 = 60 marks) Answer any FOUR questions. 9. Explain the importance and contents of Memorandum of association. 10. What are bonus share? Outline the procedure to be adopted in the issue of bonus share. 11. Explain the methods of appointment of directors. 12. What is statutory meeting? What business is conducted at this meeting? 13. Write short notes on : (a) Resolution. (b) Minutes. (c) Underwriting. (d) Share at a discount. 14. What is meant by mixing up of a company? Explain the procedure for winding up.
