Company Secretary in the corporate sector plays a key role of a mediator between the company and its board of directors, stakeholders, Government and the regulatory authorities.
A professional company secretary guides the Chairman and the board of directors of the company for making decisions on any legal aspects and acquisitions or mergers, administrative and tax related issues for the growth of the company.
Scope of Company Secretary:
In this growing world economy there is increasing demand and scope of the Company Secretary in all the Government and private sectors.
According to Indian Companies Act, 1956, it is mandatory to appoint one full time Company Secretary in every company where paid-up share capital exceeds two Cr,
Government and corporate sectors are recruiting Company Secretary in their establishments for efficient functioning in company accounts, administration and other tax related matters.
An efficient Company Secretary can promoted as a member in the board of directors and even to the position of Chairman of the board of directors.
Company Secretary Courses:
The Institute of Company Secretaries of India shortly known as ICSI is the only recognized institute by the Government of India to offer the professional course of Company Secretary.
The ICSI provides the following the three levels of Company Secretary Courses:
•C.S. Foundation Course:
The candidates who have at least passed 10+2 final examination are eligible to apply for the foundation course of company secretary for 8 months duration.
•C.S. Intermediate Course:
The candidates who have passed C.S. foundation or any graduate or Master degree or ICWAI or ICAI are eligible for Company Secretary Intermediate Course. of 9 months duration.
•<C.S Final Course:
After clearing all the papers successfully in Intermediate course the candidates become eligible to sit in the C.S. final course of study.
Company Secretary Courses:
The Company Secretary Courses broadly contain the following subjects of study:
• English, Economics, Financial Accounting, Business Environment.
• Business Communications, Corporate Restructuring.
• Management Information System, Banking and Insurance.
• World Trade Organization, Corporate Secretarial Practice.
• Company Law, International Trade.
• Human Resources Management and Industrial Relations.
• Joint Ventures, Collaboration of Companies and Commercial Laws.
For appearing in foundation or the intermediate course in CS under The Institute of Company Secretary of India(ICSI) the eligible candidates must register with ICSI before 8 months. Admission is open throughout the year.
The examinations in above CS courses are held in June and December in each year in 55 examination centers in India as well as Middle East. There are five papers to clear in foundation and eight papers in intermediate and nine papers in C.S. final examination courses to become a full fledged Company Secretary.
After clearing all the theoretical papers in C.S final course the candidates have to undergo practical work training in a company or an independent company secretary practitioner. as an intern to acquire sufficient working knowledge about duties and responsibilities of a company secretary.
