Both are considered grants. Scholarships tend to be given on Merit-based, Need based, Student-specific, Career-specific, College-specific, Creative Contest Scholarships, athletic. Fellowship is a grant, usually given to support an academic while performing research in a specified field. Most fellowships are not based on need.

As far as similarity goes both the options allow financial funding. In case of the scholarship the funding is granted if the student is either from backward caste, disabled, financially challenged provided that the person has better academic record.

In case of fellowship this is offered for the research purpose. Also the fellowship is offered for providing the lectureship and research within campus. That's where the difference between the two exists.
