This is the deed of sale which can be used in Goa.Sale deed is very important when a property is sold. This article will guide how to write a sale deed. whenever any property is sold, it becomes necessary to register the sale deed of the property. This article is the sample of the sale deed and it contains various clauses. This will let the knowledge seekers how to write is sale deed and what are the various clauses which can be used.



Deed of Sale



This sale deed is made at __________ – Goa on this ________________( Full Date)
between
1. Mr. X, son of Mr. Y, 34 years of age, service, married, holder of PAN Card no._____________ and his wife, (2) MRS. X daughter of Mr. P 30 years of age, service, holder of PAN Card No__________both Indian Nationals, resident of_____________ ( Residential address)hereinafter called "The Vendors" (which expression shall unless repugnant to the context or meaning thereof be deemed to mean and include their heirs, legal representatives, successors, executors, administrators and assigns) of the First Part.
And
2. MR. C, son of late Mr.D , 37 years of age service, married, holder of PAN Card No_______________, Indian National, resident of_________________(Residential Address)hereinafter called the "The Purchaser" (which expression shall unless repugnant to the context or meaning thereof be deemed to mean and include his heirs, legal representatives, successors, executors, administrators and assigns) of the Second Part.

Whereas there exists a property known as "__________________" ( Name of the Property) situated at________________( Address of the Location of the Property)within the jurisdiction of ____________Municipal Council, Taluka and registration Sub-District of _________, District of North Goa and State of Goa, described in the Land Registration Office of _____________ under No.______at page 127 overleaf of Book B-35 New and enrolled in the Taluka Revenue Office of __________ under ________ Nos. ___________ of second circumscription and surveyed under Chalta No. _________ of City Survey .

And whereas the aforesaid Property surveyed under Chalta No._________City Survey originally belonged to Mr. Z.

And whereas on account of the land acquisition made by the Government for the purpose of the National Highway, the aforesaid Property surveyed under Chalta No. ________________of City Mapusa is bifurcated into two parts, being Eastern and Western parts as the National Highway now passes in between two parts after the said bifurcation by the land acquisition made by the Government.

And whereas subsequent to the land acquisition by the Government, part of aforesaid property lying on the western side of acquired land i.e. the land acquired for the National Highway is sub-divided as Plot ‘A’ bearing Chalta No____________of City Survey and the land of the aforesaid property lying on the eastern side of land acquired by the Government for the National Highway is sub-divided as Plot ‘B’ bearing Chalta No___________of City Survey with the approval of the North Goa Planning and Development Authority vide its Order dated _________________

And whereas the Vendors herein this Deed entered into an Agreement dated 05/12/2005 with M/s ________ Builders to finance/reimburse for the construction of the flat, bearing Flat No. E-102 admeasuring built up area of 64.05 sq. mts. situated on the first floor of the building ‘E’ in “_________".

And whereas on construction of the building also the Flat No. E-102 duly competed in all respects the Mapusa Municipal Council granted Occupancy Certificate bearing MMC No.____________and allotted house number bearing No.________________.

And whereas by a Deed of Sale dated _____________ M/s_________Builders being the absolute owner of the said Property, sold the undivided 37.00 upon 25169 right, title, share, and interest in the said Property to the Vendors herein this Deed. The said Deed is duly registered in the Office of the Sub-Registrar Bardez under Registered No.4977 at pages 230 to 259 of Book No. I, Volume No. 1823 on ____________.

And whereas in view of the Agreement for Sale dated 05/12/2005 and the Deed of Sale dated 18/09/2006 the Vendors are the sole and absolute owners in possession of the said Flat No. E-102 together with the undivided 37.00 upon 25169 right, title, share and interest in the said Property.

And whereas the Vendors desire to sell and the Purchaser is willing to purchaser the Said Flat No. E-102 together with the undivided 37.00 upon 25169 right, title, share and interest corresponding to the area of the said Flat, the Vendors and the Purchaser entered into an Agreement for Sale dated _______________ for sale of the said Flat and its undivided proportionate share of land specifically described in the Schedule - II hereunder written for consideration of Rs.8,50,000/- (Rupees eight lakh fifty thousand only) the same being the fair market value as the construction of the building is more than five years old.

And whereas at the time of execution of the Agreement for Sale dated ___________ the Purchaser paid the stamp duty of Rs.8,500/- (Rupees eight thousand five hundred only) and the said Agreement is duly registered in the Office of the Sub-Registrar Bardez under Registered No. 1676 at pages 296 to 311 of Book No. I, Volume No. 2844 on 18/09/2009 and the said stamp duty of Rs.8,500/- is adjusted herein this Deed and the balance stamp duty is paid herewith this Deed of Sale.

Now this sale of deed witness is as under:-
1. That in pursuance of the agreement and in consideration of an amount of Rs.8,50,000/- (Rupees eight lakh fifty thousand only) paid by the Purchaser to the Vendors vide four cheques for an amount of Rs.3,00,000/- (Rupees three lakh only) prior to the execution of the Agreement for Sale dated ____________ and as specifically described in the said Agreement and the balance amount of Rs.5,50,000/- (Rupees five lakh fifty thousand only) paid vide D.D. bearing No. ____________ dated _____________ drawn on Goa State Co-operative Bank Ltd., Panaji branch, the receipts whereof the Vendors do hereby admit, acknowledge and confirm and from the same release and discharge the Purchaser. The Vendors as absolute owners do hereby grant, convey, sell, transfer, assign and assure unto the Purchaser free from encumbrances, charges, claims or demands whatsoever all that Flat No. E-102, admeasuring built up area of 64.05 sq. mts. situated on the first floor of the building ‘E’ in______________constructed in the property known as _______________surveyed under Chalta No.____________of City Survey Mapusa, together with the undivided 37.00 upon 25169 right, title, share and interest of land specifically described in the Schedule - II hereunder written and refereed to as the said Flat To have, hold, own and enjoy the same unto and to the use and benefit of the Purchaser forever, with the title deeds and other incidents of title that pass on such sale.

2. The Vendors do hereby covenant with the Purchaser that notwithstanding any acts, deeds or things heretofore done, executed or omitted to be done by the Vendors, the Vendors are lawfully seized and possessed and the title of the Vendors to the said Flat is subsisting and the Vendor have absolute and full powers to sell the same to the Purchaser so as to enjoy, own and possess the same by the Purchaser.

3. The Vendors do hereby covenant with the Purchaser that the Purchaser shall hereafter peacefully and quietly enter into and shall hold, possess and enjoy the said Flat together with the undivided 37.00 upon 25169 right, title, share and interest in the said Property without any claim or demand whatsoever from the Vendors or from any other person or persons whomsoever.

4. The Vendors further covenant with the Purchaser to save harmless, indemnify and keep indemnified the Purchaser from or against all encumbrance, charges, equities whatsoever against the said Flat together with its undivided 37.00 upon 25169 right, title, share and interest in the said Property, specifically described in the Schedule-II hereunder written.

5. The Vendors further covenant with the Purchaser that the Vendors shall at the request and cost of the Purchaser do or execute or cause to be done or executed all such lawful acts, deeds and things whatsoever for further and more perfectly conveying and assuring the said Flat together with its undivided 37.00 upon 25169 right, title, share and interest in the said Property hereby conveyed and every part thereof to the Purchaser by putting the Purchaser in possession of the same in manner aforesaid according to the true intent and meaning of this Deed.

6. The Vendors further covenant with the Purchaser to compensate the Purchaser if in case by defect in title of the Vendors, the Purchaser is deprived of whole or any part of the said Flat.

7. The Vendors do hereby covenant that the Vendors have No Objection of whatsoever nature to the Mapusa Municipal Council for transfer of the house tax of the said Flat No. E-102, bearing H. No. 4/3/E-6 in the name of the Purchaser.

8. The Vendors do hereby covenant that the Vendors have also No Objection of whatsoever nature to the Electricity Department for transfer the Electricity Meter bearing No. ________________ (E-102) of the said Flat in the name of the Purchaser.

Schedule - I

All that eastern part of the property identified as Plot “B”, admeasuring an area of 25,169 sq. mts., of the property known as ____________situated on the eastern side of the National Highway, within the jurisdiction of Mapusa Municipal Council, Taluka and Registration Sub-District of Bardez, District of North Goa and State of Goa, described in the Land Registration Office of Bardez under No.___________ at page 127 overleaf of New and found enrolled in the Taluka Revenue Office of Bardez under Matriz No._____________of second circumscription, surveyed under Chalta No._______________ City Survey Mapusa and the same is bounded as follows:-

On the East : By public road;
On the West : By National Highway;
On the North : By property surveyed under Chalta No. __________ of City Survey Mapusa
On the South : By property surveyed under Chalta No. 1
and 18 of ________________________of City Survey Mapusa.

S C H E D U L E – I I
All that Flat No. E-102, admeasuring built up area of 64.05 sq. mts., situated on the first floor of the building “E” in___________together with the undivided 37.00 upon 25169 right, title, share and interest in the said Property specifically described in the Schedule – I hereinabove written.

In witness whereof the Vendors and the Purchaser have signed this Deed of Sale on the day, month year and place first herein above written.
